These Terms and Conditions (“Terms”) govern your access to and use of the BuildMarshal website, applications, and integrations, including any Google Workspace add-on or integration (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.
If you are using the Services on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and “you” refers to that organisation.
1. Definitions
- “BuildMarshal,” “we,” “us,” “our” means BuildMarshal Technology Corp.
- “Customer” means the organisation that subscribes to or uses the Services.
- “User” means an individual authorised by a Customer to use the Services.
- “Customer Data” means data submitted to, stored in, or accessed through the Services by or on behalf of Customer, including data accessed from connected third-party accounts (such as Google Workspace) under permissions granted by Customer/User.
- “Third-Party Services” means services not owned or controlled by BuildMarshal (for example, Google Workspace).
2. The Services
BuildMarshal provides software tools that help teams organise project communication, contacts, documents, and workflows. Features may change over time, and some features may be offered as beta, preview, or limited release.
We may update, modify, suspend, or discontinue all or part of the Services at any time. We will try to provide reasonable notice when changes are material, but this may not always be possible.
3. Accounts and Access
You may need an account to use certain features.
You agree to:
- provide accurate, current account information,
- keep credentials secure and confidential,
- Promptly notify us of unauthorised access or security incidents.
You are responsible for all activity under your account unless caused by our failure to maintain reasonable security.
4. Google Workspace Integration (Read/Write Access)
If you choose to connect Google Workspace, you authorise BuildMarshal to access and process Google Workspace data only to the extent allowed by the permissions (OAuth scopes) you approve and any admin controls applied by your organisation.
Depending on the scopes you approve and the features you enable, BuildMarshal may perform actions such as reading, creating, updating, organising, or deleting content within Google services (for example: emails, files, calendars, contacts) as initiated or configured by you. You are responsible for ensuring you have the right to connect those accounts and authorise access.
Google API User Data Policy (Limited Use). If the Services receive information from Google APIs, BuildMarshal will use and transfer that information in accordance with Google’s API Services User Data Policy, including the Limited Use requirements. We do not sell Google-sourced data and do not use it for advertising profiles.
5. Customer Data, Privacy, and Security
5.1 Ownership
Customer retains all right, title, and interest in Customer Data. BuildMarshal does not claim ownership of Customer Data.
5.2 Permission to Process
You grant BuildMarshal a limited right to host, store, process, transmit, and display Customer Data solely to provide, maintain, secure, and improve the Services, and to comply with law.
5.3 Privacy
Our collection and use of personal information is described in our Privacy Policy. Where required, we may provide a Data Processing Addendum (DPA) for business customers.
5.4 Security
We maintain reasonable administrative, technical, and organisational safeguards designed to protect Customer Data. No method of transmission or storage is 100% secure, and you acknowledge that risk.
6. Acceptable Use
You agree not to misuse the Services. You will not:
- violate any applicable law or third-party rights,
- upload or transmit unlawful, harmful, infringing, or malicious content,
- attempt to gain unauthorised access to systems or data,
- interfere with or disrupt the Services,
- reverse engineer or attempt to extract source code except where prohibited by law,
- Use the Services to send spam or unlawful communications.
We may suspend or terminate access if we reasonably believe your use violates these Terms or creates security or legal risk.
7. Third-Party Services
The Services may integrate with Third-Party Services. Your use of Third-Party Services is governed by their terms and policies. BuildMarshal is not responsible for Third-Party Services, including their availability, security, or actions.
8. Fees, Billing, and Taxes (If Applicable)
If you subscribe to paid Services:
- You agree to pay the fees presented to you at purchase or in an order form/invoice,
- fees are generally non-refundable unless required by law or explicitly stated otherwise,
- You are responsible for applicable taxes, duties, or levies unless a valid exemption applies.
We may change pricing for future subscription periods with reasonable notice.
9. Intellectual Property
BuildMarshal and its licensors own all rights in the Services, including software, designs, text, trademarks, and documentation, excluding Customer Data.
Subject to these Terms, BuildMarshal grants you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes during the subscription term (or while the Services are made available to you).
10. Feedback
If you provide suggestions or feedback, you grant BuildMarshal the right to use it without restriction or compensation.
11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDMARSHAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
BuildMarshal may provide automated insights or suggestions. You are responsible for reviewing outputs and making your own decisions.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDMARSHAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDMARSHAL’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF:
(A) USD $50, OR
(B) THE AMOUNTS PAID BY CUSTOMER TO BUILDMARSHAL FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations. In those cases, the limitations apply to the fullest extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless BuildMarshal and its directors, officers, employees, and agents from and against claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from:
- your use of the Services,
- your Customer Data or content,
- your violation of these Terms or applicable law,
- Your violation of third-party rights.
14. Suspension and Termination
You may stop using the Services at any time. If you have a paid subscription, cancellation terms depend on your plan or order form.
We may suspend or terminate access if you materially breach these Terms, if required by law, or to address security/fraud risk.
Upon termination, your right to use the Services ends. We may delete or de-identify Customer Data according to our retention policies and legal obligations, and where applicable, any agreement you have with us.
15. Governing Law and Venue
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws rules. You agree to the exclusive jurisdiction of the courts located in British Columbia, Canada.
16. Changes to These Terms
We may update these Terms by posting a revised version and updating the “Last Updated” date. Your continued use of the Services after changes become effective means you accept the updated Terms.
